VERTICES PARTNERS has advised PLIX, operated by Satiya Nutraceuticals Private Limited, and its promoters, Rishubh Satiya and Akash Hiren Zaveri, on the sale of an additional 24.09% stake in the company to Marico Limited for ₹1,012 crore (approximately $105.42 million).
Following the transaction, Marico’s total shareholding in PLIX has increased to 84.09%, marking another significant step in the FMCG major’s acquisition of the direct-to-consumer (D2C) nutrition and wellness brand. VERTICES PARTNERS advised both the company and its promoters, continuing its longstanding relationship with the clients.
Marico Strengthens Ownership in PLIX
The latest stake acquisition builds on Marico’s investment in PLIX in July 2023, when the consumer goods company acquired a 37.75% stake for approximately ₹369 crore.
In May 2025, Marico increased its holding by acquiring an additional 25.25% of the company’s paid-up share capital. The latest purchase further consolidates its ownership as it progresses towards its stated plan to complete the buyout of PLIX by July 2027.
The transaction represents a key milestone in the integration of PLIX into Marico’s broader consumer business, strengthening the FMCG company’s position in the D2C nutrition and wellness segment.
Growing Interest in India’s D2C Wellness Market
The transaction highlights the growing interest of established consumer businesses in India’s D2C wellness market. Brands operating in this segment have built dedicated customer bases across nutrition, personal care and lifestyle-oriented products, creating opportunities for larger consumer companies to expand their portfolios.
For PLIX, Marico’s increased ownership marks another stage in its development as part of a larger consumer business. For Marico, the acquisition aligns with its efforts to strengthen its presence in evolving consumer categories.
As established FMCG companies continue to expand beyond traditional product segments, transactions involving D2C brands are becoming an important route to broadening their consumer reach and category exposure.
VERTICES PARTNERS Advises PLIX and Its Promoters
Commenting on the transaction, Vinayak Burman, Founder and Managing Partner of VERTICES PARTNERS, said the deal reflected not only a change in shareholding but also the evolution of a business and the confidence stakeholders place in its future.
Burman noted that the firm was pleased to have advised PLIX and its promoters on the transaction as Marico increased its ownership. He also reiterated the firm’s commitment to supporting businesses and founders as they navigate important decisions throughout their growth journeys.
The transaction underscores the role of legal advisers in facilitating significant corporate deals involving ownership changes, strategic acquisitions and the next stages of business development.
